Vice President of Corporate Services

About the role

Artex Capital Solutions is seeking a Vice President of Corporate Services to lead its corporate governance, company secretarial, and regulatory compliance functions across a portfolio of reinsurance and fund companies based in Bermuda. Reporting to the Deputy Head of Corporate Services, you will work with a global team to deliver high‑quality corporate services and support the firm’s risk‑management objectives.

Key responsibilities

• Act as Company Secretary for multiple Bermuda‑registered entities, convening and attending board and member meetings, drafting minutes, and maintaining statutory registers.
• Manage statutory filings, regulatory reporting to the ROC and BMA, and ensure timely incorporation and BSX listings.
• Lead client relationships, delivering exemplary service and conducting annual compliance reviews.
• Provide governance oversight, advise on corporate governance best practices, and monitor compliance with domicile legislation.
• Collaborate with Compliance & Risk teams on AML/ATF, KYC, and remedial actions for any non‑compliance.
• Support team initiatives, projects, and promote a diverse, inclusive workplace.

Required profile

• Extensive experience in corporate services, company secretarial, or governance within the reinsurance or fund sector.
• Strong knowledge of Bermuda corporate law, ROC, BMA regulations, and BSX listing requirements.
• Proven ability to manage senior client relationships and deliver high‑quality service.
• Excellent analytical, communication, and confidentiality skills.
